Disclaimer
These terms govern all sales transactions between Amphipolis and the purchaser, superseding any other agreements. Amphipolis’ representatives are not authorized to agree to alternative conditions or modify these sales terms. Any amendments to these terms require written agreement between Amphipolis and the purchaser.
Amphipolis may conduct credit searches through a credit agency, which will retain records of such searches and may share the information with other businesses. Additionally, Amphipolis may inquire about the principal director(s) with a credit reference agency.
Orders
- Orders placed with representatives or sent to the sales office are subject to acceptance by the sales office. It is emphasized that orders should not be placed with delivery drivers, as they lack authority to accept orders or forward them to the sales office.
- Amphipolis reserves the right to modify, reduce, or cancel orders, partially or fully, due to stock shortages or other reasons, and to make adjustments to products and/or packaging as necessary.
Payment
- Unless otherwise arranged, invoices must be settled prior to or on the day of delivery.
- Late payments may result in contract termination and/or suspension of further deliveries,
- Amphipolis reserves the right to withdraw credit facilities without disclosure of reasons, should circumstances warrant such action.
Prices
Prices are subject to change without prior notice and exclude VAT unless otherwise stated.
Delivery of Goods
- Amphipolis will deliver goods to the address provided on the “New Account Form.”
- Standard delivery includes unloading goods at the kerbside of the delivery address, unless alternative arrangements are agreed upon. The purchaser is responsible for moving goods upon delivery.
- Access to the purchaser’s premises must be provided for delivery.
- The purchaser must inspect goods upon receipt and notify Amphipolis immediately of any damages, shortages, or excess deliveries. The signed delivery note serves as conclusive evidence of receipt.
- Estimated delivery slots are subject to weather and traffic conditions and may change without notice. Customers are advised to contact Amphipolis in case of delays or for further information.
- Amphipolis does not accept responsibility for revenue loss dueto delayed or failed deliveries. Initials
- Damages, shortages, or excess deliveries must be reported within 24 hours if the purchaser is absent during delivery, with the signed delivery note serving as evidence of goods received.
- Liability for defective goods is limited to the cost of replacement. Defective goods must be retained or returned promptly for inspection.
- If the purchaser fails to arrange for goods acceptance, Amphipolis may charge for delivery.
- Delivery dates are estimates, with time not being of essence to the contract. Amphipolis is not liable for damages resulting from untimely delivery.
- Risk in the goods passes to the purchaser upon delivery, with goods remaining Amphipolis’ property until fully paid for. The purchaser must store and insure the goods separately until payment, with Amphipolis entitled to recover goods at any time and location.
Sale of Goods
- Resale of goods must adhere to Amphipolis’ instructions, especially regarding storage, and goods must be sold in their original packaging and state.
- Amphipolis does not offer goods on a sale or return basis, and representatives are not authorized to accept such orders. The purchaser is responsible for selling goods before expiry dates, as goods are non-returnable unless otherwise agreed.
Returns
- Goods ordered in error may be returned if the purchaser notifies Amphipolis in writing within 3 days for ambient goods or 1 day for chilled or frozen goods, from delivery. Returned goods must be stored and handled appropriately. Amphipolis reserves the right to refuse or reduce credit for returns not in original condition and packaging. Damaged goods should be retained for inspection, with Amphipolis not liable for indirect or consequential profit loss.
- Any returns for reasons other than intrinsic faults attributable to Amphipolis and/or manufacturers will be at the purchaser’s expense.
Insolvency
In the event of insolvency or similar circumstances, Amphipolis may suspend all account activity, with outstanding balances becoming immediately payable.
Termination
Amphipolis may terminate the contract immediately for material breaches.
Jurisdiction
This contract is governed by English and Welsh law, with jurisdiction exclusively granted to English courts.
